1.2. The rights and obligations under a specific order specified in the Application, executed (being executed) by the Agent in accordance with the terms of this Agreement, arise directly with the Principal.

1.3. The Agent shall commence the performance of the assigned actions upon acceptance of the Principal's Request for the execution of a specific assignment. The Agent shall notify the Principal of the acceptance of the Request by displaying the relevant information in the Principal's Personal Account.

If the execution timeframe is not specified in the Application, the Agent must execute the order no later than two (2) banking days from the date of acceptance of the Application.

1.5. The Parties have the right to unilaterally refuse to execute the Request prior to its actual execution by the Agent. The Parties' refusal to execute the Request (or any individual order) does not entail the termination of this Agreement as a whole.

1.6. As part of the execution of this Agreement, the Agent has the right to engage third parties (including subagents) to fulfill the assignment stipulated by the Principal's Request. No additional consent (or other approval) from the Principal is required to engage third parties (including subagents) to fulfill the Principal's Request.

1.7.1. «QR».

The Principal, by clicking the "QR" button and scanning the appropriate payment instrument (QR code) of the Recipient, generates an Application and instructs the Agent to make a Payment in favor of the Recipient using the details specified by the Principal.

After receiving the Application generated by the Principal, if the Payment can be made, the Agent provides the Principal with information on the material and other terms of the Payment, including the amount of the retained fee.

After receiving the generated information from the Agent regarding the Payment being made, the Principal clicks the "Pay" button, thereby agreeing to all the terms of the Payment (the terms of the agreed Application).

The Agent reserves the right to refuse to accept the Application if it cannot be executed, including for reasons related to restrictions of payment systems, counterparty banks, or legal requirements.

1.7.2. «Transfer».

The Principal, by clicking the "Transfer" button and completing the subsequent steps to fill in the fields of the pop-up windows in the Application, specifies the required Recipient details, thereby instructing the Agent to make the Payment (generates an Application).

After receiving the Application generated by the Principal, the Agent, if it is possible to make the Payment, provides the Principal with information on the material and other terms of the Payment, including the amount of the retained fee.

After receiving the generated information from the Agent regarding the Payment being made, the Principal clicks the "Pay" button, thereby agreeing to all the terms of the Payment (the terms of the agreed Application).

1.7.3. «Replenishment».

By clicking the "Top Up" button and completing the subsequent steps to fill in the pop-up windows in the Application, the Principal specifies the amount to be topped up, as well as the details of the debit source. This creates a Balance Top-Up Request and credits funds to the Agent's designated bank account for subsequent use in making Payments as provided in subparagraphs 1.7.1 and 1.7.2 of this Agreement.

As part of the Balance Top-Up process, the Agent provides storage services, including provision of payment information, account status information, and other information related to payments, payment transactions, and/or accounts.

The Agent reserves the right to refuse the Top-Up Request if it cannot be executed, including for reasons related to restrictions imposed by payment systems, counterparty banks, or legal requirements.

The funds transferred under this subparagraph are not a commercial loan and are not subject to interest.

1.8. The Principal has the right to carry out settlements stipulated by this Agreement using funds (Balance) previously credited to the Agent or sources of debiting funds available for use in the Application (details of the debit sources must be specified by the Principal in the relevant fields of the Application interface).

1.9. The Agent reserves the right to unilaterally set minimum and maximum limits for Payments in the Application.

When the Principal creates an Application, the Principal is obligated to take into account the possibility of the Agent applying minimum and maximum limits when making Payments in the Application.

2.2. The Principal may only create a Profile or Personal Account after reviewing and accepting all terms of the Public Offer and Agreement, including the terms of the documents posted in the Appendix and forming an integral part of the Public Offer and Agreement. Confirmation of the Principal's acceptance of such terms is confirmed by checking the appropriate boxes in the registration form, completed when creating a Profile or Personal Account.

2.3. The Agent reserves the right to change the form and scope of information provided by the Principal in order to comply with legal requirements, as well as to obtain the Principal's free and unambiguous consent to carry out any actions (sending Applications, providing documents and information, exchanging information, sending notifications and advertising, etc.).

2.4. The Principal undertakes to independently ensure the security and safety of the password and other data specified when creating the Profile and Personal Account, while the Principal independently determines the procedure for storing the specified information (data) and takes measures to prevent unauthorized access to and use by third parties.

2.5. In the event of loss, compromise, or unlawful access by third parties to the information (data) provided by the Principal when creating a Profile or Personal Account, the Principal is obligated to immediately notify the Agent so that the Agent can take the necessary measures. Until such notification is received, all actions performed using the Profile or Personal Account are considered to have been performed by the Principal.

2.6. The Principal may not create two or more Profiles (Personal Accounts) in the Application. If the Agent has reason to believe that the Principal has violated this prohibition, the second and subsequent Profiles and Personal Accounts associated with the Principal by the Agent will be blocked by the Agent.

2.7. If the Agent has sufficient grounds to believe that the Principal's actions (or inactions) in the Profile or Personal Account may be related to activities inconsistent with the Agreement, the Agent's internal documents, or current legislation, including illegal activity, fraudulent actions, etc., the Agent reserves the right to suspend (restrict functionality and access to) the Principal's Profile or Personal Account until the completion of the relevant investigation.

Based on the results of the internal investigation, if the Agent decides to refund funds, the Agent (upon the direct account or card holder's written request to the Agent, along with documents confirming the need for a refund) will refund funds exclusively to the original accounts or cards from which the Agent received the funds, and will resume the operation of the Principal's Profile or Personal Account.

3. PROCEDURE FOR SETTLEMENTS AND PROVISION OF CONFIRMATION OF PAYMENT

3.1. In order for the Agent to fulfill its obligations under the Application accepted in the manner established by this Agreement, the Principal shall transfer to the Agent's account specified in the Application the necessary and sufficient amount of funds in the currency agreed upon by the Parties in the Application to fulfill the Principal's order.

3.2. If the currency of the funds to be transferred from the Principal to the Agent in the Application differs from the currency of the funds to be transferred by the Agent to the Recipient, settlements shall be made at the exchange rate established by the Parties in the relevant Application.

3.3. Simultaneously with the Principal's transfer of the amounts required for the Agent to make the Payments specified in paragraphs 1.7.1 and 1.7.2, the Principal transfers the Agent's remuneration as an advance payment (excluding VAT, paragraph 1.56, Article 118 of the Tax Code of the Republic of Belarus). The amount of the Agent's remuneration is specified in the Application. The advance payment amount is not a commercial loan and is not subject to interest.

The remuneration amount includes the Agent's remuneration for executing the order and all expenses incurred by the Agent in executing the order, including, but not limited to: bank commissions, exchange rate differences, remuneration of third parties engaged by the Agent, and other expenses.

3.4. The Agent shall transfer funds to the Recipient specified by the Principal in the relevant Application in the amount, timeframe, and to the details specified in the Application. The Agent shall not be liable for the veracity and accuracy of the Recipient's details specified by the Principal in the Application.

3.5. Funds are considered received by the Agent on the date and time they are credited to its bank account. Bank charges are borne by the payer (OUR).

3.6. The Agent's proper execution of the order specified in the Request is deemed to be the date the funds are credited to the Recipient's bank account (or the obligation is fulfilled by another means, including non-monetary, subject to a corresponding agreement with the Payment Recipient).

No later than the business day following the day on which the Agent executed the order specified in the Request, the Agent shall provide the Principal with confirmation of the Payment execution by displaying the relevant information in the Personal Account and/or sending an electronic message containing information about the Payment made.

3.7. If the Agent is unable to fulfill the order for which the Request was generated, the Agent is obligated to inform the Principal of the circumstances within 1 (one) business day via the Appendix.

Within 1 (one) business day of receiving the relevant information from the Agent, the Principal is obligated to amend the Request or withdraw it.

No later than 3 (three) business days of receiving the Principal's withdrawal of the Request, the Agent is obligated to refund (by reflecting and recording the funds within the Balance or by crediting the funds to the Principal's bank account (subject to agreement between the Parties)) the funds transferred by the Principal to fulfill the relevant order, including the amount of the remuneration transferred to the Agent, provided the said funds are available in the Agent's account. The refund of funds transferred by the Principal to the Agent and available in the Agent's account is made minus the bank commission for the Payment (if charged by the bank). The amount of money transferred to the Agent and subject to return (in accordance with this clause) is not a commercial loan. No interest is charged on this amount for the use of someone else's funds.

3.8. If the Request cannot be executed due to circumstances beyond the Agent's control (e.g., the inability of the Recipient or the Recipient's bank to accept funds, the Principal providing incorrect details, etc.) and there are no funds in the Agent's account, the deadline for the return of funds shall be additionally agreed upon by the Parties, taking into account the deadlines set by non-resident banks for the execution of Payments. The Agent shall return to the Principal the funds (by reflecting and accounting for funds within the Balance or by crediting funds to the Principal's bank account (subject to agreement between the Parties)), transferred by the Principal to the Agent for the execution of the order, less the withheld amounts of all Agent expenses incurred in making Payments. The amount of funds transferred to the Agent and subject to return (in accordance with this clause) is not a commercial loan. Interest for the use of third-party funds shall not be charged on this amount.

3.9. If the Agent has properly executed a Payment in response to the Principal's accepted Application, but subsequently circumstances arise that constitute grounds for the Recipient to return previously transferred funds (including due to failure to provide a service, failure to deliver a product, improper fulfillment of obligations by the Recipient, or other grounds stipulated by applicable law or the agreement between the Principal and the Recipient), and such funds have been received into the Agent's account from the Recipient (or from another person on the Recipient's instructions), the Agent shall return the said funds to the Principal, provided that the Agent identifies such funds as belonging directly to the Principal (including on the basis of documents provided by the Principal).

The Agent shall return the funds by reflecting and accounting for such funds within the Principal's Balance or by crediting the funds to the Principal's bank account (subject to an agreement between the Parties).

In this case, the Agent will deduct from the refunded amount the actual costs incurred in connection with the refund (including bank fees, exchange rate differences, and other expenses).

The Agent's fee deducted for the initial Payment is non-refundable.

The Recipient and Principal independently determine the grounds and rules for refunding funds in accordance with the agreement between the Principal and Recipient and applicable law.

3.10. By entering into the Agreement, the Parties agreed that the price of the Agreement is the sum of the Payments made by the Principal.

At the time of entering into the Agreement, the Parties agreed that the Agreement, «as is» was concluded for a price not exceeding 2,000 base units.

If, upon the Principal's making of Payments, the total amount exceeds 2,000 base units, the Agreement between the Principal and the Agent will be deemed concluded for a price exceeding the aforementioned amount, from the date on which such price is exceeded.

The currency of the Agreement is determined based on the Principal's residency:

1) If the Principal is a resident of the Republic of Belarus, the currency of the Agreement is the Belarusian ruble;

2) If the Principal is a non-resident of the Republic of Belarus, the currency of the Agreement is the Russian ruble.

3.11. The Agent shall ensure the ability to identify the purpose of the funds received by the Agent from the Principal, i.e. the ability to unambiguously determine the Application within the framework of which the Principal transferred these funds to the Agent.

3.12. The Agent unilaterally refuses to make Payments (financial transactions) to the Principal in cases established by the Law of the Republic of Belarus dated June 30, 2014 "On measures to prevent the legalization of proceeds from crime, the financing of terrorist activities and the financing of the proliferation of weapons of mass destruction" and other legislative acts, local regulations of the Agent, as well as if the Agent has sufficient grounds to believe that the Principal refuses to provide the Agent with its additional identification data, as well as a document confirming the source of origin of funds.

3.13. When making Payments under this Agreement, the Principal is obligated to use only those current (settlement) bank accounts and bank payment cards that belong to the Principal personally.

If the Agent discovers that the Principal has violated the requirements of this clause, the Agent has the right to refuse to execute the relevant Request, suspend the Principal's Personal Account, and, in the case of repeated violations, to terminate the Agreement unilaterally and out of court.
